1. Agreement Overview
By purchasing, downloading, streaming, or otherwise using any instrumental (“Beat”) from Certified Slapz, you (“Licensee”) agree to be legally bound by the terms of this Licensing Agreement.
All licenses offered are non-exclusive, unless an exclusive agreement is privately negotiated, agreed upon in writing, and signed by both parties.
2. Definitions
Beat:
The instrumental music composition produced by Don Kody / Certified Slapz.
New Song:
One (1) new musical composition created by adding vocals and/or additional musical elements to the Beat.
Licensee / You:
The individual or legal entity purchasing or using a license.
Producer / Licensor:
Don Kody / Certified Slapz.
Each license permits the creation of one (1) New Song per Beat unless otherwise stated. Additional songs require additional licenses.
3. License Types Overview
Certified Slapz offers the following license options:
- Basic License (Non-Exclusive)
- Premium License (Non-Exclusive)
- Unlimited License (Non-Exclusive)
- Non-Profit Listening License (Tagged / Listening Only)
Exclusive Rights are not available for direct purchase and are negotiated privately only.
4. Basic License (Non-Exclusive)
Term: 5 Years
File Formats: MP3 + WAV
4.1 Rights Granted
- Create one (1) New Song
- Distribute on digital platforms (Spotify, Apple Music, YouTube, etc.)
- Use for singles, EPs, mixtapes, and promotional releases
- Live performances:
- Unlimited non-profit performances
- Up to five (5) paid performances
- One (1) non-monetized music video
4.2 Usage Limits
- Up to 2,000 total downloads or physical copies
- Up to 300,000 monetized audio streams
- Unlimited non-monetized streams
4.3 Restrictions
- No film, TV, commercials, video games, or sync placements without written approval
- No resale, sublicensing, leasing, or redistribution
- No uploading the Beat by itself
- No Content ID or fingerprinting registration
- License is non-transferable
5. Premium License (Non-Exclusive)
Term: 7 Years
File Formats: MP3 + WAV
5.1 Rights Granted
Includes all Basic License rights, plus:
- Unlimited paid live performances
- One (1) monetized music video
- Higher distribution and streaming limits
5.2 Usage Limits
- Up to 3,000 downloads or physical copies
- Up to 500,000 monetized audio streams
- Unlimited non-monetized video streams
5.3 Restrictions
All Basic License restrictions apply.
6. Unlimited License (Non-Exclusive)
Term: Lifetime
File Formats: MP3 + WAV
6.1 Rights Granted
- Unlimited monetized and non-monetized audio streams
- Unlimited downloads and physical sales
- Unlimited monetized and non-monetized videos
- Unlimited live performances
6.2 Restrictions
- License remains non-exclusive
- No major film, television, national advertising, video game, or corporate sync placements without a separate written agreement
- No resale, sublicensing, or Content ID registration
7. Non-Profit Listening License (Tagged Version)
Term: Unlimited (Listening Only)
File Format: Tagged MP3 ONLY
7.1 Rights Granted
- Personal, private listening only
- Reference use for writing, practice, or inspiration
7.2 Strict Restrictions
This license DOES NOT allow:
- Recording vocals or creating a song
- Releasing or distributing music
- Posting on any social media platform
- Uploading to streaming services
- Using in videos, reels, shorts, or promotional content
- Monetization of any kind
This tagged version is strictly for listening and evaluation purposes only.
Any misuse voids the license immediately.
8. Ownership & Publishing
Don Kody / Certified Slapz retains 100% ownership of the Beat and its underlying composition.
The Licensee owns lyrics and vocal performance only.
8.1 Composition Split
- 50% Producer: Don Kody / Certified Slapz
- ASCAP Publisher: Big Indoe Music
- IPI #: 584613529
- 50% Licensee
8.2 Credit Requirement
All public releases must include the credit:
“Produced by Don Kody / Certified Slapz”
9. Content ID & Copyright Protection
The Licensee may not register the Beat or any New Song containing the Beat with:
- YouTube Content ID
- Facebook / Meta Rights Manager
- TikTok or any audio fingerprinting system
This protects all non-exclusive license holders.
10. Sample Clearance Responsibility
Any and all sample clearance is the sole responsibility of the Licensee.
Certified Slapz does not guarantee that any Beat is free of third-party samples, interpolations, or copyrighted material.
The Licensee is fully responsible for:
- Identifying all samples used
- Obtaining proper permissions and licenses
- Paying any required fees or royalties
Don Kody and Certified Slapz assume no liability for uncleared samples.
11. Indemnification
The Licensee agrees to indemnify, defend, and hold harmless Don Kody, Certified Slapz, Big Indoe Music, and all affiliated parties from any claims, damages, losses, liabilities, or legal expenses (including attorney’s fees) arising from:
- Use of the Beat
- Failure to clear samples
- Copyright or intellectual property violations
- Breach of this Agreement
This obligation survives license termination or expiration.
12. Exclusive Rights (By Offer Only)
Exclusive rights are not available through checkout.
